TOKA Group Code of Conduct
This code is a set of values and a corporate culture that is the foundation for each and every one of our personnel to practice our corporate spirit of "Technology and Kindness" (Technology, Service, and Care), which is essential to realize our corporate philosophy and vision in accordance with our basic management policies, and should be handed down from the past to the present and into the future. It applies to all personnel of the TOKA Group*. “Personnel” includes the TOKA Group’s officers and full-time, temporary and subcontracted employees.
Any deviation from this code may have a serious negative impact on the TOKA Group itself and its credibility, and may result in disciplinary action, including termination of employment, in accordance with the work rules and regulations separately established by each group company.

We will always respect one another. We will not tolerate violence, threats, slander, bullying, harassment or any other behavior that violates an individual's dignity, whether inside or outside the company. We will always maintain a clear distinction between public and private matters, and will not use hierarchical relationships in the course of our duties for personal gain.
We will work to ensure that a diverse workforce is motivated and able to maximize their skills in the right place at the right time. We will hire and evaluate our personnel fairly and impartially, based on merit and equal opportunity, and will not discriminate in any way.
We will prioritize safety in all aspects of our operations and provide a safe and secure work environment. We will not omit safety concerns from our established procedures for reasons of importance, urgency, etc. We will not conceal minor accidents or workplace injuries.
We will properly handle the personal information of our personnel and confidential information about their property and health in accordance with the privacy laws and regulations of each country and will not violate the privacy of individuals.
When communicating with our personnel, we will communicate facts and share information whether it is convenient for us or not, and build an open, transparent, and trusting relationship. We will not take advantage of information disparity.

We provide innovative, truly valuable and safe products and services. We continuously improve not only the value and safety of our products and services themselves, but also the way they are used, compliance with various standards, hazard and toxicity information, selection of appropriate products, provision of information in response to inquiries, and other broad conceptual aspects of value and safety.
When we collect information from other companies, we will use only legitimate and appropriate sources that do not interfere with compliance. We will not illegally acquire or steal information from other companies, receive confidential information from anyone who is not authorized to disclose it, or use confidential information provided for a limited purpose under a non-disclosure agreement for any other purpose.
We will compete fairly and in accordance with the rules so that TOKA Group's products and services will be chosen by our customers, and we will win their support through our own originality and ingenuity. We understand domestic and foreign anti-monopoly and subcontracting laws, and will not engage in joint efforts with other companies to restrict competition.
We will not engage in bribery (offering anything of value) to win or keep business or to obtain any other improper business advantage.
When doing business with suppliers, we will select those suppliers that meet our requirements and can provide the greatest overall value, taking into account their track record. We will not use our position to solicit gifts, entertainment or favors from our business partners, either directly or indirectly. We will not accept gifts, entertainment or favors that appear to influence the initiation, retention or expansion of business or that improperly influence the selection process.
We will deal with our customers in an honest and fair manner, providing them with facts about the products and services we offer and not making false representations or claims. We will also provide sufficient information to prevent customers from incurring unnecessary costs as a result of mistaken product selection or improper use. If a transaction violates laws or regulations regarding imports, exports or economic sanctions, we will comply with such laws and regulations to rectify the situation.

We do not accept gifts or entertainment from customers or business associates that appear to influence the other party's business decisions in a frequency or amount that exceeds socially accepted norms.
We will use confidential information concerning the products and services of the TOKA Group and that concerning the business of the TOKA Group, customers, suppliers, etc. only for legitimate purposes and not for personal gain. We shall comply with internal rules regarding the handling of confidential information and shall not disclose such information to third parties without permission.
We must use company assets effectively for the benefit of the company in accordance with established rules and not for personal gain.
We respect the intellectual property rights, such as patents, trademarks and copyrights, of others. We will not use them beyond the scope permitted by copyright law without the permission of the copyright holder.
We will make and keep accurate business and financial records and report and disclose them as required. We will not make false or misleading statements or conceal, alter or falsify records.
We do not make investment decisions based on undisclosed material inside information of the TOKA Group or other listed companies that we obtain through our business, nor do we disclose material inside information to others for profit.
We will not engage in fraudulent activities, such as defrauding others of money, assets or services through false expense reports, misuse of company assets or falsification of business records.

We will not only comply with all applicable environmental laws and regulations, company policies and internal rules, but all of our personnel will actively seek and implement ways to reduce the environmental impact of the TOKA Group.
We will not do anything in our personal lives that violates our duty of loyalty to the company or conflicts with our interests.
